Historic Private Aluminum Restructuring Approved: Hongqiao Holdings, Formerly Hontron Holdings, Opens a New Chapter in Value Investing

On December 31, Hongqiao Holdings, formerly Hontron Holdings, (002379.SZ) announced that its RMB63.52 billion acquisition of a 100% equity interest in Hongtuo Industrial had received registration approval from the China Securities Regulatory Commission. With this milestone, Hongchuang Holdings officially became an integrated aluminum industry leader with businesses spanning alumina, primary aluminum and aluminum fabrication.

Notably, this restructuring also represents the largest private enterprise merger and acquisition restructuring project in the A-share market in recent years. It is not only a historic restructuring, but also a vivid example of how China’s capital market serves the real economy and supports industrial upgrading. The smooth approval process reflects the regulatory authorities’ supportive stance toward high-quality M&A restructuring projects, while also demonstrating the capital market’s core role in optimizing resource allocation and helping real industries grow stronger and larger. It has set a confidence-building example for more private enterprises seeking to break through development bottlenecks and enhance industrial concentration through capital operations.

At the industrial level, the successful completion of this restructuring is not only a landmark event marking the return of China Hongqiao’s core assets to the A-share market, but also a powerful driver for the aluminum industry’s transition toward high-end, intelligent and green development. It has further shaped the competitive landscape of China’s primary aluminum industry. With 6.459 million tonnes of primary aluminum capacity and 19 million tonnes of alumina capacity, Hongchuang Holdings ranks second nationwide, behind only Chinalco, thereby establishing its core position in the high-barrier and cyclical primary aluminum value chain. The market is expected to welcome a value investment target with a potential market capitalization of RMB300 billion.
